Terms of use.

Winnow is a Chrome extension that you install and run in your own browser, in your own logged-in seller.indiamart.com session. It reads the BuyLeads visible in that session, applies the rules you set, records the outcome of each lead, and, only when you explicitly switch auto-pick on and hold an active licence, clicks “Contact Buyer Now” on matching leads on your behalf. This website and the dashboard are where you request a licence, manage your rules and see your results.

We supply the software, a licence key, help writing your first rules, and support. We do not run the tool for you, do not run it on our servers, and do not have access to your IndiaMART account.

These terms apply when you request or use a Winnow licence, the extension or the dashboard. Winnow does not create leads, and does not promise replies, orders or revenue.

By using Winnow you confirm that:

• you are authorised to use the IndiaMART seller account in question, and to use automated assistance with it;
• you have satisfied yourself that this use is consistent with your agreement with IndiaMART, and you accept the risk that IndiaMART may disagree (see “IndiaMART’s terms and account risk” below);
• where leads concern regulated goods, including but not limited to pharmaceuticals and controlled substances, you hold every licence, registration and authorisation required to solicit, supply, export or import those goods in each relevant place, and you understand that Winnow’s rules do not and cannot establish that any particular transaction is lawful;
• you will keep pick caps, spacing and active hours at conservative settings and will not try to defeat any IndiaMART security control.

What we collect, and why, is described in the Privacy notice. In short: deciding whether a lead fits happens in your browser; our server receives your licence key, usage counters, short summaries of leads your rules match, and your saved rules; and for each lead Winnow picks for you it stores, encrypted, the full lead including the buyer’s contact details, so that you can see it in your dashboard. We delete those details after 180 days and don’t use them for any other purpose. We never access your IndiaMART credentials.

The buyer details are personal data about someone else. You decide to contact the buyer and to hold their details, so you are responsible for being entitled to hold and process them.

For counsel: Controller and processor roles, a data-processing agreement, cross-border transfers and buyers’ rights are not settled here.

Automating actions in the seller interface may breach IndiaMART’s Terms of Use even though it runs in your own session. IndiaMART may restrict, suspend or terminate your seller account, and may take action against us. You acknowledge this and accept it as a risk of using Winnow. We make no promise that using Winnow complies with IndiaMART’s terms or that your account will not be affected.

Winnow is independent. It is not affiliated with, authorised by, or endorsed by IndiaMART InterMESH Ltd. “IndiaMART” and “BuyLeads” belong to their owner and are used here only to describe what Winnow works with.

A licence key lets you use Winnow on up to the number of devices recorded against the key, for the period you have paid for. Some licences also cap the number of “Contact Buyer Now” picks in each billing period. When the period ends or that cap is reached, Winnow stops working until it is renewed, topped up, or the period resets. The key is personal to you and can’t be transferred.

You will not copy, clone or share an installation or a key so that it is used on more devices than it allows, and will not modify, decompile or get around the licence checks. We can detect use beyond the recorded devices and may sign out an installation we reasonably believe to be a copy; you can then activate it again as a new device, within your device limit.

We may deactivate a key, switch Winnow off remotely, or tighten pick caps where needed to deal with abuse, a security concern or a legal requirement. Doing so stops the tool.

For counsel: Prices are now published on the pricing page (plus GST), but the billing terms behind them are not written yet: how renewal works, what “cancel before renewal” means, refunds, GST invoicing and how notice is given. The pricing page already tells customers they can cancel before renewal and keep access until the period they paid for ends, so that promise needs a matching clause. The clauses above are drafted from how the licence works today.

We do not solicit, encourage or facilitate any specific transaction. Any starting list of keywords or brands that we help you set up reflects the products you told us you sell; you alone are responsible for what it contains and for the lawfulness of every lead you act on. We may decline to supply Winnow, or withdraw it, for any use we consider unlawful or unacceptable.

Until a licence is linked to your account, the dashboard shows example data so you can see how it works. It is not your data and nothing you do there is saved to our servers.

Winnow depends on IndiaMART’s pages. When IndiaMART changes its site, Winnow can stop working or behave unexpectedly until we ship a fix. Descriptions of speed or quality on this website are about what Winnow is designed to do, not a promise of results.

Winnow is provided “as is”. To the fullest extent the law allows, we exclude all implied warranties and limit our total liability to the fees you paid in the 12 months before the claim. We are not liable for lost leads, wasted BuyLead credits, account suspension or regulatory consequences.

For counsel: Enforceability of these exclusions varies by country and by whether the customer is a business or a consumer. Confirm which law and courts apply.

Either of us can end this on notice. When it ends you stop using Winnow and deactivate your licence. The sections on your responsibilities, IndiaMART’s terms and account risk, regulated goods, and our liability continue to apply afterwards.
